Terms of Service

1. Who we are

Taquito Partners is an independent software design and engineering practice based in San Andrés Cholula, Puebla, Mexico. These Terms of Service govern any proposal, statement of work, or engagement between Taquito Partners ("we," "us") and a client ("you") for custom software design, development, or related services.

2. Services

Specific deliverables, timelines, and fees for any engagement are defined in a separate written proposal or statement of work agreed with the client before work begins. These Terms apply in addition to, and do not replace, that agreement.

3. Payment

Payment terms (amounts, currency, milestones, and due dates) are set out in the applicable proposal or statement of work. Work may be paused if agreed payments are not received on schedule.

4. Intellectual property

Unless otherwise agreed in writing, ownership of custom code and deliverables built specifically for a client transfers to that client upon full payment. Taquito Partners retains the right to reuse general-purpose tools, libraries, and know-how developed in the course of an engagement that are not specific to the client's confidential business logic.

5. Confidentiality

We treat client business information, data, and materials shared during an engagement as confidential, and will not disclose them to third parties except as required to deliver the agreed services or as required by law.

6. Limitation of liability

To the maximum extent permitted by law, Taquito Partners' liability for any claim arising from an engagement is limited to the fees paid by the client for the specific work giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

7. Governing law

These Terms are governed by the laws of the State of Puebla, Mexico, without regard to conflict-of-law principles. Any dispute not resolved amicably will be submitted to the competent courts of San Andrés Cholula, Puebla.

8. Changes to these terms

We may update these Terms from time to time. The version published on this page is the one in effect. Material changes affecting an active engagement will be communicated directly to the client.
